AstraZeneca Explored Merger With Bristol Myers Squibb in Early-Stage Talks, Report Says
AstraZeneca has explored a merger with Bristol Myers Squibb, according to a Financial Times report published on Sunday 2 August and carried by Bloomberg and CNBC the same day. Press coverage attaches a figure of about US$400 billion to the combination. Neither company has confirmed anything, and no filing or formal announcement has been made by either side.
The wording used by the outlets carrying the report matters more than the number. Bloomberg described the discussions as early-stage and attributed them to unnamed sources, saying AstraZeneca had explored a merger rather than that talks were live. Within the same news cycle the tense in wire headlines moved from present to past. On the evidence available this is a reported exploration, not a process.
What has and has not been said
| Check | Position as at 3 August 2026 |
|---|---|
| AstraZeneca statement or regulatory announcement | None dated 1–3 August 2026 |
| Bristol Myers Squibb statement | None dated 1–3 August 2026 |
| US Securities and Exchange Commission filings by either party | None on 1–3 August; Bristol Myers Squibb last filed on 30 July for second-quarter results |
| Disclosed price, premium or exchange ratio | None |
| Named sources in the reporting | None; every account rests on people familiar with the matter |
The absence is itself the most reliable fact in the story. AstraZeneca remains a UK-listed, UK-headquartered and UK tax-resident company in the FTSE 100, and Bristol Myers Squibb is incorporated in Delaware. A leak of this size would ordinarily invite a response from at least one of them. None has come.
The two businesses
| AstraZeneca | Bristol Myers Squibb | |
|---|---|---|
| Q2 2026 revenue | US$15,384mn | US$13.0bn |
| Q2 2026 net profit | US$2,508mn | US$3,317mn |
| Q2 2026 earnings per share | US$1.61 reported | US$1.62 diluted |
| Half-year 2026 revenue | US$30,672mn | US$24,462mn |
| Full-year 2026 guidance | Revenue up mid-to-high single digits at constant rates, reconfirmed 27 July | Revenue raised to US$49.0–50.0bn; EPS US$6.75–7.00, on 30 July |
AstraZeneca reported total revenue of US$58,739 million and reported profit after tax of US$10,233 million for 2025. Bristol Myers Squibb raised its full-year revenue guidance on 30 July, from a range beginning at US$46.0 billion to one beginning at US$49.0 billion, on 15 per cent growth in its growth portfolio.
Why it matters: The US$400 billion figure in circulation is best read as an approximation of what the combined company would be worth, not as a price anyone has offered. That distinction is the whole story, and it is the point most likely to be lost in secondary coverage. On the reported framing AstraZeneca is the party that explored the approach, which would make it the acquirer in a transaction of unprecedented scale for the sector, carrying the funding, dilution and integration risk that implies. Both companies are currently performing: AstraZeneca reconfirmed guidance on 27 July and Bristol Myers Squibb raised its own three days later. Neither is a business under pressure to do something drastic, which is precisely why an unconfirmed report of this size deserves scepticism rather than extrapolation.
Outlook: Only two things would move this from report to process: a formal announcement by either company, or a filing with the US Securities and Exchange Commission. Until one appears the story rests entirely on unnamed sources. A combination of this size would in any event face a long antitrust review on both sides of the Atlantic, and the therapeutic overlap in oncology and immunology is where that review would concentrate. Shares in AstraZeneca fell about 7 per cent in London on Monday 3 August, according to CNBC; the London market was closed on the Sunday the report appeared.
